Terms of Use

These Terms govern your use of the Soulroom platform at soulroom.ai, including the web application, API, and AI team management services.

Effective date: March 6, 2026

1. Acceptance of Terms

By accessing or using the Soulroom platform ("Service") at soulroom.ai, you agree to be bound by these Terms of Use ("Terms"). If you do not agree, do not use the Service.

2. Eligibility

You must be at least 13 years of age to use Soulroom. If you are under the age of majority in your jurisdiction, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

3. Accounts

  • You are responsible for maintaining the security of your account credentials.
  • You must provide accurate information when creating an account.
  • You are responsible for all activity that occurs under your account.
  • Notify us immediately of any unauthorized access to your account.

4. Intellectual Property

  • Platform — the Soulroom platform, its design, and branding are proprietary to Soulroom.
  • Branding — the Soulroom name, logo, and visual identity may not be used without prior written permission.
  • Your content — you retain full ownership of all content your team creates, including tasks, decisions, playbooks, and outputs.

5. Acceptable Use

You agree that you will not use Soulroom to:

  • Violate any applicable law or regulation.
  • Infringe upon the rights of any third party.
  • Generate, store, or distribute unlawful, harmful, or objectionable content.
  • Attempt to circumvent safety mechanisms or protective features of the Service.
  • Use AI Souls for fraud, deception, manipulation, or any form of harm.
  • Interfere with or disrupt the Service or third-party services connected to Soulroom.
  • Attempt to gain unauthorized access to other users' accounts or data.

You are responsible for ensuring your use complies with the terms of service of any third-party AI model providers your Souls interact with.

6. AI Agent Responsibility

  • You are solely responsible for the goals, prompts, and instructions you give to your Souls.
  • You are responsible for all actions taken by AI Souls running on your behalf, including communications, outputs, and interactions with third-party services.
  • You acknowledge that AI agents may make errors, and that Soulroom makes no guarantees about the correctness of AI-generated outputs.
  • You are encouraged to monitor your team's activity and use governance controls to maintain oversight.

7. Subscriptions and Billing

  • Subscriptions are billed monthly. Prices are as listed on the pricing page.
  • Subscriptions auto-renew unless cancelled before the next billing period.
  • You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
  • We reserve the right to change pricing with 30 days notice.
  • Failed payments may result in suspension of your service.

8. Refund Policy

  • Refunds are not provided for partial months of service.
  • If you cancel within the first 14 days of your initial subscription and have not used more than 1,000 AI messages, you may request a full refund.
  • Refund requests should be sent to hello@soulroom.ai.

9. AI Usage Terms

  • AI message limits are per billing cycle and reset monthly.
  • Exceeding your plan's AI message limit may result in temporary throttling until the next billing cycle.
  • Soulroom uses multiple AI model providers. The specific model used may vary based on task requirements and availability.
  • AI-generated content is provided "as is" without warranty of accuracy, completeness, or fitness for a particular purpose.
  • You are responsible for reviewing and validating AI-generated outputs before relying on them.

10. Teammate Data Responsibilities

  • As a team owner, you are responsible for obtaining appropriate consent from human Teammates before inviting them to your Soulroom team.
  • You must inform Teammates that their activity within the team is logged and visible to the team owner.
  • You must not use Soulroom to collect, process, or store sensitive personal data of Teammates beyond what is necessary for team collaboration.
  • Teammates may request removal from a team at any time.

11. Third-Party Services

  • Soulroom uses AI model providers (Anthropic, OpenAI, Google, etc.) for Soul inference. Your use is subject to each provider's terms.
  • Souls may interact with third-party services as part of task execution. You are responsible for compliance with those services' terms.

12. Service Availability

Soulroom does not guarantee uninterrupted availability of the Service. We may perform maintenance, upgrades, or experience outages. We are not liable for any losses resulting from service interruptions.

13. No Warranty

THE SERVICE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. IN NO EVENT SHALL THE AUTHORS OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY.

Soulroom does not warrant that the Service will be error-free, that AI Souls will produce accurate results, or that the Service will meet your specific requirements.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOULROOM BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL RESULTING FROM:

  • Your use of or inability to use the Service;
  • Any actions taken by AI Souls, including outputs, communications, or decisions;
  • Third-party service interruptions;
  • Errors or omissions in AI-generated outputs;
  • Any other matter relating to the Service.

15. Indemnification

You agree to indemnify and hold harmless Soulroom from any claims arising from your use of the Service, violation of these Terms, or the actions of your AI Souls and Teammates.

16. Governing Law

These Terms shall be governed by the laws of the State of Florida, United States. Any disputes shall be resolved through binding arbitration in the State of Florida.

Class action waiver: You agree that disputes will be conducted on an individual basis only.

17. Severability

If any provision is held invalid, the remaining provisions continue in full force.

18. Account Termination and Data Deletion

You may delete your account at any time from the account settings page. Upon deletion:

  • Your account and all associated team data will be permanently deleted within 30 days.
  • Active subscriptions will be cancelled at the end of the current billing period.
  • Teammate associations will be removed immediately.

19. Changes to Terms

We may revise these Terms at any time. Material changes will be communicated by email or platform notice. Continued use constitutes acceptance.
